By booking a consultation, engaging our services, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and How Orderly ("we," "us," or "our").

2. Services Provided

2.1 Description of Services

How Orderly provides professional home and office organization services, including but not limited to: space planning, decluttering, organization systems implementation, product sourcing, and organizational consulting. Specific services will be detailed in individual service agreements or proposals.

2.2 Consultation Process

All projects begin with an initial consultation (in-person or virtual). During this consultation, we assess your needs, discuss solutions, and provide a customized quote. The consultation may be complimentary or paid, as specified at the time of booking.

2.3 Service Customization

Our services are customized to each client's unique needs. Scope, timeline, and pricing will be agreed upon before work begins and documented in a service agreement or proposal.

3. Booking and Scheduling

3.1 Booking Process

To book our services, you must provide accurate and complete information through our contact form, email, phone, or WhatsApp. We will confirm your booking and provide details about the consultation or service session.

3.2 Scheduling Changes

If you need to reschedule an appointment, please provide at least 48 hours' notice. Late cancellations or no-shows may result in a cancellation fee equivalent to 50% of the scheduled session fee.

3.3 Our Scheduling Changes

While we make every effort to honor scheduled appointments, we reserve the right to reschedule due to unforeseen circumstances. We will provide as much advance notice as possible and work with you to find an alternative date.

4. Fees and Payment

4.1 Pricing

Service fees are determined on a project-by-project basis and will be provided in your customized quote. All prices are in Indian Rupees (INR) unless otherwise stated. Prices may vary based on project scope, location, complexity, and time requirements.

4.2 Payment Terms

Payment terms will be specified in your service agreement. Typically:

  • A deposit (usually 30-50%) may be required to confirm booking
  • Remaining balance is due upon completion of services or as per payment schedule
  • Payment can be made via bank transfer, UPI, credit/debit card, or other agreed methods

4.3 Additional Costs

Organization products, storage solutions, and supplies are typically billed separately unless otherwise specified. We will obtain your approval before purchasing any items on your behalf. Travel expenses may apply for services outside our standard service areas.

4.4 Late Payments

Late payments may incur interest charges of 1.5% per month (or the maximum allowed by law). We reserve the right to suspend services for accounts with outstanding balances.

5. Client Responsibilities

5.1 Access to Space

You agree to provide safe, unobstructed access to the areas being organized during scheduled service times. This includes ensuring that pathways are clear and that we have access to necessary utilities (water, electricity, etc.).

5.2 Decision-Making

While we provide expert guidance and recommendations, all final decisions regarding keeping, discarding, or donating items are yours. You or an authorized representative should be available for decision-making during the organization process.

5.3 Valuables and Sensitive Items

You are responsible for securing any high-value items, sensitive documents, firearms, medications, hazardous materials, or personal items you wish to handle yourself before our arrival.

5.4 Accurate Information

You agree to provide accurate information about your space, needs, and any relevant circumstances that might affect our services (e.g., pest issues, water damage, accessibility limitations).

6. Liability and Limitations

6.1 Professional Care

We will exercise reasonable care and skill in providing our services. However, we are not liable for any damage to items that occurs due to pre-existing conditions, normal wear and tear, or circumstances beyond our control.

6.2 Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

6.3 Lost or Discarded Items

We are not responsible for items accidentally discarded or donated with your approval during the decluttering process. Once items are removed from your property for donation or disposal, they cannot be retrieved.

6.4 Insurance

We maintain general liability insurance. However, we recommend that you maintain your own homeowner's or renter's insurance to cover your belongings.

7. Confidentiality and Privacy

7.1 Confidentiality

We respect your privacy and will treat all information about your home, belongings, and personal circumstances as confidential. We will not share this information with third parties except as required by law or with your explicit consent.

7.2 Photos and Testimonials

We may request permission to take before-and-after photos for our portfolio and marketing materials. We will always obtain your written consent before using any photos or testimonials. You may request anonymity or decline photo use at any time.

7.3 Data Protection

8. Intellectual Property

8.1 Our Content

All content on our website, including text, graphics, logos, images, and organization systems we design, is the property of How Orderly and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

8.2 Client Systems

While we retain intellectual property rights in our organizational methods and systems, you have the right to continue using the specific systems we implement in your space and to maintain them independently.

9. Termination

9.1 Termination by Client

You may terminate services at any time with written notice. You will be responsible for payment for all services rendered up to the termination date, plus any cancellation fees as specified in your service agreement.

9.2 Termination by How Orderly

We reserve the right to terminate services if: (a) payment is not received as agreed, (b) you breach these Terms, (c) working conditions are unsafe, (d) you engage in abusive or threatening behavior toward our team, or (e) circumstances make it impossible to complete the project as agreed.

10. Warranties and Disclaimers

10.1 No Guarantees

While we strive to create effective organization systems, we cannot guarantee specific outcomes or that you will maintain organization indefinitely. Long-term success depends on your commitment to maintaining the systems we implement.

10.2 Product Disclaimers

When we source organization products on your behalf, we do not manufacture these products and cannot be held responsible for product defects or failures. Manufacturer warranties apply to products as applicable.

10.3 No Professional Advice

Our services do not constitute financial, legal, psychological, or medical advice. If organization challenges stem from underlying issues (mental health, hoarding disorder, etc.), we encourage you to seek appropriate professional help.

11. Dispute Resolution

11.1 Informal Resolution

If you have any concerns or disputes, please contact us first. We are committed to resolving issues amicably and will make good-faith efforts to address your concerns.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

11.3 Arbitration

Any disputes that cannot be resolved informally may be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, before resorting to litigation.

12. General Provisions

12.1 Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and How Orderly regarding our services and supersede all prior agreements and understandings.

12.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger or acquisition.
